16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

The following provisions shall survive the termination of these Terms and shall apply indefinitely: Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification.

17. Arbitration Agreement and Class Action Waiver

You agree that any and all controversies, claims, disputes, rights, interests, suits, or causes of action between Catalina Structured Funding and you, or arising out of or relating to these Terms or the formation, validity, and/or enforceability of this agreement to arbitrate (each, an "Arbitrable Claim"), as well as the question of arbitrability of any such Arbitrable Claim, shall be settled by binding arbitration before the American Arbitration Association (the "AAA").

Notwithstanding the foregoing, you have the option to pursue an Arbitrable Claim in a court of law, but only if you opt out of this arbitration provision in writing sent to Catalina Structured Funding via USPS Certified Mail, Return Receipt Requested, within 30 days of first accessing the Site. Any opt-out request received after the 30-day period will not be valid.

The arbitration will be held before a single arbitrator, subject to the Commercial Rules of the AAA. No arbitration shall include (by consolidation, joinder, or any other method) any third parties, except by written consent signed by both Catalina Structured Funding and you. You have no right or authority to submit an Arbitrable Claim to be arbitrated on a class action basis or on any basis involving claims brought in a purported representative capacity on behalf of the general public or other persons or entities similarly situated.

YOU UNDERSTAND THAT YOU WILL NOT HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY OR AS A MEMBER OF ANY CLASS OF CLAIMANTS IN ANY PROCEEDING PERTAINING TO AN ARBITRABLE CLAIM. YOU ARE EXPRESSLY WAIVING THE RIGHT TO SEEK REMEDIES IN A COURT OF LAW AND UNDERSTAND THAT SOME RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY NOT BE AVAILABLE IN ARBITRATION.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Catalina Structured Funding regarding your use of the Site and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

20. Effective Date

The effective date of these Terms is April 5, 2026.
